Capital contribution limit to foreign firms doubles to ₽30m

The Bank of Russia has increased the threshold for residents to make contributions to foreign companies' authorised capital without individual permission. The limit has doubled from ₽15 million to ₽30 million, effective July 1, 2026.

New ₽30 million threshold for foreign capital

Effective July 1, 2026, the Bank of Russia has updated its requirements for Russian residents making contributions to the authorised capital of foreign companies.

Under the revised framework, residents will no longer be obligated to obtain individual permission from the central bank for such transactions, provided the amount for a single legal entity does not exceed ₽30 million.

This adjustment represents a significant increase from the previous threshold of ₽15 million, effectively doubling the limit.

The aim of this update is to streamline the process for Russian entities involved in foreign capital participation, thereby reducing administrative complexities for transactions falling within the new, higher ceiling.

The Bank of Russia has specified that the calculation of this ₽30 million limit will include all relevant transactions executed by a resident to a non-resident legal entity from April 1, 2024.

This ensures a comprehensive and consistent application of the new rules, establishing a clear historical reference point for assessing compliance with the updated foreign exchange control measures.

The revision seeks to balance regulatory oversight with the facilitation of cross-border capital flows for residents.

Currency flexibility and partnership rules

The updated requirements offer flexibility in transaction currency, allowing contributions to be made in Russian rubles or a foreign currency.

For foreign currency transactions, the ruble equivalent is determined using the Bank of Russia's official exchange rate on the payment date, ensuring a standardized conversion.

Crucially, if the transaction amount, regardless of the payment currency, exceeds the ₽30 million limit, individual permission from the Bank of Russia remains mandatory, preserving oversight for larger capital transfers.

These revised requirements also extend to contributions made to non-residents under simple partnership agreements, ensuring a consistent application across various forms of resident foreign capital participation.
